Membership Terms and Conditions

Introduction

These Member Terms and Conditions (“Member Terms”) govern the relationship between Theresider.co and any individual or entity (“Member”, “you”) that subscribes to a paid or commercial plan on the Platform. These Member Terms supplement the Website Terms and Conditions (Document 01). In the event of any conflict, these Member Terms shall prevail in respect of matters relating to your plan.

By subscribing to any plan, you confirm that you have read and agreed to these Member Terms, the Website Terms and Conditions (Document 01), the Privacy Policy (Document 03), the Fraud Prevention Policy (Document 04), and the Chargeback and Dispute Handling Procedure (Document 05).

The Platform offers two plans, each governed by the common provisions below and the plan-specific terms set out in the relevant section:

  • Section A — On-demand Listings Plan: Theresider.co produces all Multimedia Content for your property listings. No data-sharing arrangement.
  • Section B — Professional Listings Plan: You share your listing data with Theresider.co for publication on the Platform. One direction only — from you to Theresider.co.
Professional Plans

SECTION B — PROFESSIONAL LISTINGS PLAN

These terms apply to Members subscribed to the Professional Listings plan, in addition to the Common Provisions above. Under this plan, you share your listing data with Theresider.co for publication on the Platform. Data flows in one direction only — from you to Theresider.co. Theresider.co does not share its own listing data with you, and does not produce Multimedia Content under this plan.

B1. Service Description

Under the Professional Listings plan, you grant Theresider.co the right to receive, ingest, and publish listing data that you share from your website or platform (“Partner Site”). Listing data may be submitted by you via a structured data feed (push), or made available by you for collection by Theresider.co (pull), as agreed in the Data Sharing Agreement described in clause B2 below.

Theresider.co will publish listing data received under this plan on the Platform as received, subject to our content moderation and quality standards. Published Listings will be attributed to your organisation in accordance with the settings agreed in your Data Sharing Agreement.

B2. Data Sharing Agreement

The Professional Listings plan is subject to a formal Data Sharing Agreement (“DSA”) executed between Theresider.co and you prior to activation of the plan. The DSA will govern:

  • The technical method and format of data submission (feed specification, API, or other agreed method).
  • The frequency and timing of data submissions or collections.
  • The categories and fields of listing data to be shared.
  • Data quality standards and the process for handling errors, duplicates, or outdated listings.
  • Permitted uses of the data by Theresider.co beyond publication on the Platform (e.g., Market Reports, analytics).
  • The process for suspension or termination of the data-sharing arrangement.

In the event of any conflict between the DSA and these Member Terms, the DSA shall prevail in respect of technical and operational matters. These Member Terms shall prevail in all other respects.

B3. Data Licence

By sharing listing data with Theresider.co under this plan, you grant Theresider.co a non-exclusive, royalty-free, one-directional licence to receive, store, process, and publish that data on the Platform, and to use it in aggregated, anonymised form for Market Reports and internal analytics, for the duration of the DSA and these Member Terms.

No reciprocal licence is granted. Theresider.co’s own listing data is not shared with you under this plan. You must not attempt to access, collect, or extract Theresider.co’s listing data through scraping or any other means without entering into a separate written agreement.

Theresider.co must not use your listing data for purposes outside those agreed in these Member Terms and the DSA, including resale to third parties or the creation of products that directly compete with your Partner Site.

B4. Your Data Warranties

By sharing listing data with Theresider.co, you warrant that:

  • You have full legal authority to share the data and to grant the licence described in clause B3.
  • The data does not infringe any third-party intellectual property rights, including rights held by property owners, photographers, or other content creators.
  • The data was collected, held, and is being shared in compliance with all applicable data protection and privacy laws, including the Barbados Data Protection Act, Cap. 308D.
  • The data is accurate, current, and not deliberately manipulated, fabricated, or misrepresented.
  • You will promptly notify Theresider.co of any circumstances that affect the accuracy, legality, or availability of the data being shared.

B5. Data Quality and Corrections

You are responsible for the accuracy and completeness of all listing data shared with Theresider.co. Theresider.co reserves the right to remove, withhold, or flag any listing data that does not meet our content standards, appears inaccurate, or is the subject of a complaint, without prior notice. We will endeavour to notify you promptly of any such action.

Where data errors or outdated listings are identified, you are responsible for submitting corrected data through the agreed technical channel. Theresider.co does not manually edit listing data received under the Professional Listings plan except for formatting adjustments required for Platform display.

B6. No Multimedia Content Production

Theresider.co does not produce Multimedia Content — including photography, video, virtual tours, or floor plans — under the Professional Listings plan. Any Multimedia Content associated with Listings published under this plan is provided by you as part of the listing data you share. You warrant that you hold all necessary rights and permissions for any Multimedia Content included in your data feed.

B7. Refunds — Professional Listings Plan

In addition to the general refund provisions in the Chargeback and Dispute Handling Procedure (Document 05), no refund will be issued under this plan where the DSA has been activated and listing data has been ingested and published on the Platform, unless Theresider.co has failed to publish the data within the agreed timeframe through no fault of yours.

On-demand Listing Plans

SECTION A — ON-DEMAND LISTINGS PLAN

These terms apply to Members subscribed to the On-demand Listings plan, in addition to the Common Provisions above. Under this plan, Theresider.co produces all Multimedia Content for your properties. No data-sharing or scraping arrangement forms part of this plan.

A1. Service Description

Under the On-demand Listings plan, Theresider.co will arrange and produce professional Multimedia Content for each property you wish to list on the Platform. Multimedia Content produced under this plan may include professional photography, video walkthroughs, 360° virtual tours, and dynamic interactive floor plans, as specified in the service package you select at the time of subscription.

A2. Your Obligations

To enable Theresider.co to produce Multimedia Content, you must:

  • Provide Theresider.co with lawful access to the property at mutually agreed times.
  • Ensure the property is in a condition suitable for content production at the time of the scheduled visit.
  • Warrant that you have the legal right to grant access to the property and to authorise the production and publication of Multimedia Content in connection with it.
  • Notify Theresider.co promptly if access arrangements change or are no longer possible.

Where a scheduled content production visit cannot proceed due to circumstances within your control, Theresider.co reserves the right to charge a rescheduling fee as set out in the current rate card.

A3. Ownership of Multimedia Content

All Multimedia Content produced by Theresider.co under this plan — including photographs, videos, virtual tours, and floor plans — is and remains the intellectual property of Theresider.co. Upon publication of your Listing, you are granted a limited, non-exclusive, non-transferable licence to use Theresider.co-produced Multimedia Content solely for the purpose of marketing the listed property during your active subscription period.

You may not sublicence, sell, transfer, or grant any third party rights in Theresider.co-produced content without prior written consent. Upon termination or expiry of your subscription, your licence to use Theresider.co-produced Multimedia Content ceases immediately. Theresider.co retains the right to continue using the content for its own Platform, archival, and market reporting purposes indefinitely.

A4. No Data Sharing

The On-demand Listings plan does not include any data-sharing, data feed, or scraping arrangement. Listing data you submit to Theresider.co under this plan is used solely to populate your Listing on the Platform and, in aggregated anonymised form, to contribute to Market Reports in accordance with clause C3 above. Theresider.co will not scrape your website or access any external data source in connection with this plan.

A5. Listing Management

You are responsible for ensuring that all property details associated with your Listing — including price, availability, and property specifications — are accurate and kept up to date throughout the subscription period. Theresider.co will publish Listing details as submitted. You may request amendments to Listing text and property details at any time by contacting members@theresider.co. Requests to reproduce Multimedia Content will be assessed against our current rate card.

A6. Cancellation Policy — Scheduled Property Visits

Where Theresider.co has scheduled a visit to a property for the purpose of producing Multimedia Content, the following cancellation terms apply:

  • Cancellation with more than 24 hours’ notice: If you cancel or reschedule a confirmed property visit by providing written notice to members@theresider.co more than 24 hours before the scheduled visit time, no cancellation fee will be charged. One free reschedule is permitted per booking. Subsequent rescheduling requests may be subject to a rescheduling fee as set out in the current rate card.
  • Cancellation within 24 hours of the scheduled visit: If you cancel or attempt to reschedule a confirmed property visit less than 24 hours before the scheduled visit time, the full fee paid for that visit is forfeited. No refund, credit, or reschedule will be offered. This applies regardless of the reason for cancellation, including change of instruction, property withdrawal, or access issues arising on the day.
  • No-show or access failure: If Theresider.co’s content production team attends the property at the agreed time and is unable to gain access due to circumstances within your control — including but not limited to no key holder being present, incorrect access details provided, or the property being unavailable — this will be treated as a cancellation within 24 hours and the full visit fee will be forfeited.
  • Cancellation by Theresider.co: If Theresider.co cancels a confirmed property visit for reasons within our control, we will offer a full reschedule at no additional cost, or a pro-rata refund of the visit fee at your election. We will provide as much notice as reasonably practicable in such circumstances.

To cancel or reschedule a property visit, you must provide written notice by email to members@theresider.co, clearly stating the booking reference and the reason for cancellation. Verbal cancellations will not be accepted. The timestamp of your email will be used to determine whether the 24-hour threshold has been met.

A7. Refunds — On-demand Listings Plan

In addition to the general refund provisions in the Chargeback and Dispute Handling Procedure (Document 05) and the cancellation terms in clause A6 above, no refund will be issued under this plan where Multimedia Content production has already commenced or been completed, regardless of whether the Listing has been published. Where Theresider.co is unable to fulfil a scheduled content production visit due to circumstances within our control, we will offer a reschedule or a pro-rata credit at our discretion.

COMMON PROVISIONS — BOTH PLANS

The following provisions apply to all Members regardless of which plan they subscribe to.

C1. Eligibility and Registration

To subscribe to a Member plan, you must be at least 18 years of age, have the legal capacity to enter into a binding agreement under Barbados law, and — where applicable — hold any required licence or registration under the Barbados Real Estate Agents and Salesmen Act. By subscribing, you represent that all information provided during registration is accurate and complete.

C2. Member Responsibilities

All Members are responsible for:

  • Ensuring all information provided to Theresider.co — including property details, pricing, availability, and contact information — is accurate, complete, and kept up to date.
  • Holding all necessary legal rights, licences, consents, and permissions required to advertise the relevant properties on the Platform.
  • Complying with all applicable Barbados laws and regulations, including the Real Estate Agents and Salesmen Act and anti-money laundering legislation.
  • Promptly notifying Theresider.co of any change in the availability, status, or material characteristics of a listed property.
  • Not engaging in any prohibited conduct as set out in the Website Terms and Conditions (Document 01) or the Fraud Prevention Policy (Document 04).

C3. Market Reports Based on Member Data

By subscribing to either plan, you acknowledge and consent to Theresider.co using aggregated, anonymised listing data — including data associated with your Listings — to generate Market Reports made available to Registered Users free of charge. Market Reports will not identify individual Members or their specific Listings by name. This consent survives termination of your subscription in respect of data already incorporated into published Market Reports.

C4. Fees, Payment, and Renewals

Fees are quoted in Barbados Dollars (BBD) unless otherwise stated and are payable in advance by the method specified at checkout. Subscriptions renew automatically unless cancelled at least 5 business days before the renewal date. Theresider.co will provide at least 30 days’ written notice of any fee increase prior to the next renewal date. All fees are non-refundable except as set out in the Chargeback and Dispute Handling Procedure (Document 05).

C5. Suspension and Termination

Theresider.co may suspend or terminate your account with immediate effect if you breach these Member Terms, the Website Terms, the Fraud Prevention Policy, or any applicable law. Upon termination:

  • All active Listings will be removed from the Platform.
  • Any data-sharing access or data feed arrangements will cease immediately.
  • Theresider.co’s right to use your data in already-published Market Reports continues.
  • No refund will be issued where termination is due to a breach by you.

You may cancel your subscription at any time by providing written notice to billing@theresider.co. Cancellation takes effect at the end of the current billing period. No partial-period refunds are issued.

C6. Warranties and Indemnity

You warrant that: (a) you have full authority to enter into these Member Terms; (b) all information and data provided to Theresider.co is accurate and does not infringe any third-party rights; and (c) your use of the Platform complies with all applicable laws.

You agree to indemnify and hold harmless Theresider.co, its officers, employees, and agents from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Member Terms, any inaccuracy in your Listings or data, or any infringement of third-party rights.

C7. Limitation of Liability

Theresider.co’s total liability to you in connection with these Member Terms shall not exceed the total fees paid by you in the 3 months immediately preceding the event giving rise to the claim. Theresider.co is not liable for indirect, consequential, or loss-of-profit claims. Nothing in these Terms limits liability for fraud or any liability that cannot be excluded under Barbados law.

C8. Governing Law and Disputes

These Member Terms are governed by the laws of Barbados. Disputes shall first be referred to good-faith negotiation. If unresolved within 30 days, either party may refer the matter to the courts of Barbados.

C9. Amendments

Theresider.co may amend these Member Terms at any time by providing 30 days’ written notice to active Members. Continued use of the Platform after the notice period constitutes acceptance of the amended Terms.

Chargeback & Dispute Handling Procedure

Overview

This Procedure governs how violet-butterfly-562338.hostingersite.com manages payment disputes, chargeback claims, and billing enquiries raised by Members in relation to fees paid for Platform services under either the On-demand Listings plan or the Professional Listings plan. All transactions are processed in Barbados Dollars (BBD) through our PCI-DSS compliant payment gateway.

Before initiating a chargeback with your bank, you are strongly encouraged to contact violet-butterfly-562338.hostingersite.com directly. Most billing issues can be resolved quickly without formal chargeback proceedings. Contact billing@violet-butterfly-562338.hostingersite.com with:

  • Your full name and registered account email address.
  • The date, amount, and reference number of the disputed transaction.
  • A clear description of the nature of the dispute and the plan it relates to.

We will acknowledge receipt within 1 business day and provide a full written response within 5 business days.

Valid and Invalid Grounds for a Disputeb Title 3

3.1 Valid Grounds

  • A charge was applied in error (e.g., duplicate billing or incorrect amount).
  • A service was paid for but not activated or delivered within the agreed timeframe.
  • A refund was agreed by violet-butterfly-562338.hostingersite.com but not processed within the stated period.

3.2 Not Valid Grounds

  • Dissatisfaction with enquiry volume or leads generated by a Listing.
  • Dissatisfaction with Market Report content or coverage.
  • A change of mind after a Listing is published or Multimedia Content has been produced.
  • Failure to cancel before a subscription renewal where adequate advance notice was given.
  • Professional Listings plan: dissatisfaction with the Platform’s presentation of your shared data, where data was published as agreed.
  • Disputes about a property transaction — violet-butterfly-562338.hostingersite.com is not a party to any sale or rental.
Chargeback Process

4.1 Notification and Review

Upon receiving a chargeback notification from our payment processor (typically within 5 to 7 business days of the bank dispute being raised), violet-butterfly-562338.hostingersite.com will log the claim, review transaction records, and attempt to contact you to seek resolution before formal representation.

4.2 Evidence Package

For chargebacks we intend to contest, we will compile an Evidence Package within the timeframe required by the relevant card scheme (typically 7 to 14 calendar days). This may include:

  • Proof of your acceptance of these Terms at the time of subscription.
  • Transaction records including date, amount, and payment method.
  • Invoice and order confirmation records.
  • On-demand Listings plan: Listing publication logs, activation timestamps, and Multimedia Content production records.
  • Professional Listings plan: DSA execution confirmation, data ingestion logs, and published Listing records confirming receipt and use of your shared data.
  • Email and communication records with your account.
  • Our stated refund and cancellation policy as accepted at time of purchase.

4.3 Outcome

  • Chargeback upheld: disputed funds returned to you; your account may be suspended and Listings removed.
  • Chargeback declined: disputed funds retained by violet-butterfly-562338.hostingersite.com; your account reinstated if suspended.
  • Pre-arbitration: if your bank re-raises the dispute, violet-butterfly-562338.hostingersite.com reserves the right to participate in card scheme arbitration.

You will be notified of the outcome within 2 business days of receiving the issuing bank’s decision.

5. Account Suspension During Review

Refund Policy

When Refunds Are Available

  • A technical error on our part prevented service activation or delivery.
  • A service was charged but not delivered within 5 business days of the expected activation date and you notified us within that period.
  • A duplicate charge was applied to the same account for the same service.
  • violet-butterfly-562338.hostingersite.com cancels the service for reasons other than your breach of these Terms.

6.2 Refund Process

Requests must be submitted to billing@violet-butterfly-562338.hostingersite.com within 14 days of the disputed charge. Approved refunds are processed to the original payment method within 10 business days, in BBD.

6.3 No Refund Circumstances

  • Your account was terminated for breach of Member Terms, Website Terms, or the Fraud Prevention Policy.
  • You have initiated a chargeback with your bank for the same transaction.
  • The request was made after the 14-day window without good cause.
  • On-demand Listings plan: Multimedia Content production has already commenced or been completed.
  • Professional Listings plan: your data has been ingested and published on the Platform.
Escalation

If you are dissatisfied with the outcome of a billing dispute or our chargeback handling, escalate in writing to complaints@violet-butterfly-562338.hostingersite.com. We will acknowledge within 2 business days and provide a final determination within 15 business days. Unresolved matters may be referred to the Barbados Consumer Affairs Commission or the courts of Barbados.
